Terms of Service

These Terms of Service ("Terms") govern your access to and use of the SuperReports application and website at superreports.app (the "Service"), operated by Sunstate Bay Ventures, LLC, a Florida limited liability company doing business as SuperReports ("SuperReports," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you are using SuperReports on behalf of a company, you agree on its behalf and represent that you have authority to do so. If you do not agree, do not use the Service.

1. What SuperReports is

SuperReports is a software service that lets construction superintendents create daily reports — with text, photos, voice notes, and weather — and deliver them to their company. It is provided on a subscription basis. We are a software provider; we are not a party to any construction project, and we do not verify the accuracy of the reports created with the Service.

2. Accounts and workspaces

A workspace is owned by the construction company (or individual) that subscribes. The workspace owner/administrator invites superintendents as seats. You are responsible for activity under your account, for keeping your sign-in secure, and for the accuracy and lawfulness of the information you enter. Administrators are responsible for managing who has access to their workspace.

3. Subscriptions, billing, and cancellation

• Plans & payment. Paid plans are billed per superintendent seat, monthly or annually, through our payment processor (Stripe). By subscribing you authorize recurring charges to your payment method.
• Auto-renewal. Subscriptions renew automatically at the end of each term until canceled.
• Cancellation. You may cancel at any time; cancellation stops future renewals. When a subscription ends, the workspace becomes read-only — existing reports remain accessible (see Section 5), but new reports cannot be created.
• Refunds. Fees are non-refundable except where required by law.
• Price changes. We may change pricing prospectively; we will give reasonable notice before a change affects your renewal.
• Taxes. Fees are exclusive of taxes, which you are responsible for where applicable.

4. Your content

You (and your company) retain ownership of the report content you submit — text, photos, voice recordings, and captions ("Your Content"). You grant SuperReports a non-exclusive, worldwide license to host, process, transmit, and display Your Content solely to provide and improve the Service, including sending it to the service providers described in our Privacy Policy (such as transcription and weather lookups). You represent that you have the rights to submit Your Content and that it does not violate any law or third-party right.

5. Submitted reports are final

A daily report is a draft until you submit it. Once submitted, a report is locked and cannot be edited or deleted — it is preserved as an immutable record so it can be relied on later if a question or dispute arises about a project. Before submitting, you are responsible for reviewing the report (including any AI-organized voice content and auto-filled weather) for accuracy. Tools that pre-fill content from voice or location are aids; the submitted text is your record.

6. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose or in violation of these Terms.
• Upload content you do not have the right to upload, or that is unlawful or infringing.
• Attempt to gain unauthorized access to the Service, other workspaces, or related systems.
• Interfere with or disrupt the Service, or introduce malware.
• Reverse engineer, scrape, or use automated systems to extract data from the Service except as permitted by law.
• Resell or provide the Service to third parties without our written permission.

7. Intellectual property

The Service itself — the software, design, branding, logos, and all related intellectual property — is owned by Sunstate Bay Ventures, LLC and protected by U.S. and international law. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription; they do not transfer any ownership in the Service to you.

8. Third-party services

The Service relies on third-party providers (including Stripe, Supabase, Resend, OpenAI, Anthropic, Open-Meteo, and Netlify). We are not responsible for those services' availability, content, or practices, and your data handled by them is subject to their terms and policies, as summarized in our Privacy Policy.

9. Disclaimers

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied. To the fullest extent permitted by law, we disclaim all warranties, including merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted or error-free operation. We do not warrant that AI-generated transcriptions or organization, or auto-filled weather, are accurate or complete — you are responsible for reviewing reports before submitting them.

10. Limitation of liability

To the fullest extent permitted by law, in no event shall Sunstate Bay Ventures, LLC or its members, officers, employees, contractors, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or related to your use of (or inability to use) the Service.

Our total cumulative liability for all claims arising out of or related to the Service will not exceed the greater of (a) the amounts you paid us for the Service in the twelve months before the claim, or (b) US$100.00.

Some jurisdictions do not allow certain limitations; in those, our liability is limited to the fullest extent permitted by law.

11. Indemnification

You agree to defend, indemnify, and hold harmless Sunstate Bay Ventures, LLC and its members, officers, employees, contractors, and affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any law or third-party right.

12. Termination

You may stop using the Service at any time. We may suspend or terminate access for violation of these Terms, non-payment, or to protect the Service or other users. Sections that by their nature should survive termination — including 4 (license to Your Content, as needed to retain submitted reports), 7, 9, 10, 11, and 13 — survive.

13. Governing law and disputes

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Pinellas County, Florida, and you consent to the personal jurisdiction of those courts. To the fullest extent permitted by law, you and SuperReports each waive any right to a jury trial and to participate in a class action regarding any such dispute.

14. Changes; severability; entire agreement

We may update these Terms from time to time; we will revise the "Last updated" date and, for material changes, provide notice in the app or by email. Continued use after changes take effect constitutes acceptance. If any provision is held unenforceable, the remaining provisions stay in effect. These Terms and the Privacy Policy are the entire agreement between you and SuperReports regarding the Service.
